1. Agreement to Terms
By accessing our website or entering into a service agreement with Technology Clicks ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service and all applicable Canadian laws and regulations. If you do not agree with any of these terms, you may not use our services. These terms apply to all clients, visitors, and other users of our services.
2. Description of Services
Technology Clicks provides managed IT services to businesses, including but not limited to: remote monitoring and management, helpdesk support, cybersecurity services, cloud solutions, backup and disaster recovery, network infrastructure, VoIP services, and IT consulting.
The specific services provided to you are defined in your individual Service Agreement or Statement of Work. These Terms of Service govern your use of all Technology Clicks services and your website in addition to any specific service agreement terms.
3. Service Agreement and Payment
- Services are provided on a monthly subscription basis unless otherwise specified in writing.
- Fees are billed monthly in advance in Canadian dollars (CAD).
- Payment is due within 30 days of invoice date unless otherwise agreed.
- Late payments may incur interest at a rate of 1.5% per month (18% annually).
- Service plans may be modified with 30 days written notice by either party.
- Either party may terminate the service agreement with 60 days written notice.
4. Client Responsibilities
As a client of Technology Clicks, you agree to:
- Provide accurate information and timely access to systems as required for service delivery.
- Maintain valid licences for all software operating in your environment.
- Inform Technology Clicks of significant changes to your IT environment.
- Follow reasonable security practices and not take actions that knowingly introduce security risks.
- Maintain appropriate business insurance, including cybersecurity insurance where applicable.
- Not use Technology Clicks services for any illegal or unauthorised purpose.
5. Limitation of Liability
To the maximum extent permitted by applicable Canadian law, Technology Clicks shall not be liable for:
- Indirect, incidental, special, or consequential damages arising from the use of our services.
- Data loss that occurs despite our backup and monitoring services.
- Downtime caused by third-party services, internet service providers, or force majeure events.
- Security breaches resulting from client actions, undisclosed vulnerabilities, or zero-day exploits.
Our total liability for any claim shall not exceed the fees paid by you for the services in the three (3) months preceding the claim.
6. Confidentiality
Both parties agree to maintain the confidentiality of proprietary information shared in the course of delivering services. Technology Clicks staff are bound by confidentiality obligations and will not disclose your business information to third parties except as required by law or as necessary to deliver contracted services.
7. Intellectual Property
All content on this website, including text, graphics, logos, and software, is the property of Technology Clicks and is protected by Canadian copyright law. You may not reproduce, distribute, or create derivative works without our express written consent. Custom solutions developed for your organisation remain your property upon full payment of associated fees.
8. Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes shall be subject to the exclusive jurisdiction of the courts of Ontario.
